These Terms govern your use of the website at onyx-studio.net, the application at app.onyx-studio.net, and all design, hosting, and related services provided by Onyx Studio ("we", "us", "our"). By using our services or signing up for a subscription, you agree to these Terms.
1. Services
We design, build, and host a website for your business on a monthly subscription basis. The specific features included depend on the tier you select (Starter, Studio, Atelier, or Enterprise). Features are described at onyx-studio.net and confirmed in your welcome email.
2. Pricing & Billing
Subscription fees are billed monthly in advance and begin on the day your website goes live (or, for Enterprise projects, per the terms in your quote). All prices are in U.S. dollars.
Payment is processed by Stripe. You're responsible for keeping a valid payment method on file. Failed payments will pause service after a 7-day grace period.
3. 14-Day Money-Back Guarantee
The guarantee applies to your first month only, on Starter, Studio, and Atelier tiers. Enterprise projects are governed by the terms of your custom agreement.
4. Cancellation
You can cancel any time with no cancellation fee. Email us and we'll process the cancellation. Your site remains live through the end of your current billing cycle. After cancellation, we can either transfer the site files to you or remove the hosted version, at your option.
5. Your Content
You own the content you provide to us (logos, photos, text, trademarks). By sharing it with us, you grant us a non-exclusive license to use it solely for building, hosting, and improving your website. You're responsible for having the rights to any content you share with us.
6. Our Work Product
While you're a subscriber, you have a license to use the website we built for your business. On cancellation, we'll provide you with the HTML, CSS, and image files of your site if you request them. Our proprietary design system, templates, and infrastructure remain our property.
7. Edits & Revisions
Edits are included in your monthly fee. Edit requests are handled in order received, typically within 3 business days for Starter, 1 business day for Studio, and same-day-when-possible for Atelier. Complex changes that go beyond the scope of your tier (e.g., adding new pages, adding ecommerce) may require a tier upgrade or a custom quote.
8. Uptime & Availability
We host on Cloudflare, which targets 99.9% uptime. We aim to match that but do not guarantee continuous availability. Scheduled maintenance and rare outages do happen. We don't offer uptime refunds but we'll communicate promptly when issues arise.
9. Acceptable Use
You agree not to use our services for any illegal purpose, to host content that infringes others' rights, to distribute malware, or to operate adult content, gambling, or other industries we're not equipped to serve. We reserve the right to decline service or terminate accounts that violate this section.
10. Account Security
If you have an account at app.onyx-studio.net, you're responsible for keeping your password confidential. Notify us immediately if you believe your account has been compromised.
11. Disclaimer of Warranties
Services are provided "as is." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.
12. Limitation of Liability
To the fullest extent permitted by law, our total liability for any claim arising out of or relating to these Terms or our services is limited to the amount you paid us in the 12 months preceding the claim.
13. Governing Law
These Terms are governed by the laws of the State of Maryland, without regard to conflict of law principles. Any dispute will be resolved in the state or federal courts located in Montgomery County, Maryland.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we'll update the "Last updated" date above. For material changes, we'll notify active subscribers by email at least 14 days before the change takes effect.
